Terms of Service

These Terms govern your use of AIONEX services. By engaging with us, you agree to these terms in full. Please read them carefully.

Acceptance of Terms

By accessing or using any service offered by AIONEX FZC ("AIONEX," "we," "us," or "our"), you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

These Terms constitute a legally binding agreement between you and AIONEX FZC, a company registered in Sharjah, UAE. If you do not agree to these Terms, you must not use our services.

Description of Services

AIONEX provides AI-powered business automation and growth solutions designed to help small and medium-sized businesses (SMBs) across the UAE and GCC region generate more customers, automate manual operations, and achieve measurable business results. Our core service areas include:

  • Marketing Automation — AI-driven lead generation, content scheduling, and campaign management systems
  • Operations Automation — Workflow digitisation, task routing, and process automation replacing manual work
  • Customer Experience Systems — AI-powered response systems, chatbots, and customer journey automation
  • Business Intelligence — Dashboards, reporting pipelines, and data visibility tools for business decision-making
  • Compliance Management — Document management, regulatory tracking, and audit preparation systems
  • System Integration — Connecting your existing tools, platforms, and databases to work as one cohesive system
  • Scale Solutions — Organisational systems and process frameworks enabling growth without proportional headcount increase

The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Service Agreement or Statement of Work signed by both parties. These Terms apply to all such engagements and govern the overall relationship between AIONEX and the Client.

Account Registration & Access

To access certain services, you may be required to create an account or provide business and contact information. You agree to:

  • Provide accurate, current, and complete information during registration and throughout the engagement
  • Maintain the security and confidentiality of any login credentials, API keys, or access tokens provided
  • Notify AIONEX immediately of any unauthorised use of your account or any breach of security
  • Ensure that only authorised personnel within your organisation access systems or tools deployed by AIONEX
  • Take full responsibility for all activities that occur under your account

AIONEX reserves the right to suspend or terminate access if we reasonably believe your account is being used in violation of these Terms or in a manner that poses a security risk to our systems or other clients.

Payment Terms & Billing

All fees, payment schedules, and billing cycles are specified in your Service Agreement. Unless otherwise stated in writing:

  • Invoices are due within thirty (30) calendar days of the invoice date
  • Payments are accepted via bank transfer to AIONEX FZC's designated UAE bank account
  • All fees are quoted and payable in UAE Dirhams (AED) unless otherwise agreed
  • Late payments may incur interest at the rate specified in your Service Agreement, or otherwise at the prevailing UAE Central Bank rate
  • AIONEX reserves the right to suspend services for accounts with outstanding invoices beyond 45 days
  • All fees are exclusive of applicable UAE Value Added Tax (VAT); VAT will be added to invoices as required by UAE law

Disputes regarding invoices must be raised in writing within fifteen (15) days of the invoice date. Undisputed portions of any invoice remain due and payable on the original due date.

Client Obligations

The success of any AIONEX engagement depends on active Client participation. By engaging our services, you agree to:

  • Provide timely access to the systems, platforms, data sources, and personnel required for service delivery
  • Designate a primary point of contact who has authority to make decisions and communicate on behalf of your organisation
  • Review and provide feedback on deliverables within the timelines specified in the Service Agreement
  • Ensure all information provided to AIONEX is accurate, lawful, and free from third-party rights restrictions
  • Not use AIONEX services in any manner that violates applicable UAE laws, regulations, or the rights of third parties
  • Obtain all necessary licences, consents, and permissions required for AIONEX to access and process your business data
  • Inform AIONEX promptly of any material changes to your business operations or systems that may affect service delivery

Intellectual Property

Each party retains ownership of its respective intellectual property. Specific ownership terms are clarified as follows:

AIONEX Intellectual Property

All proprietary methodologies, frameworks, automation architectures, software tools, and pre-existing systems developed or owned by AIONEX prior to or independently of any engagement remain the exclusive property of AIONEX FZC. Nothing in these Terms transfers ownership of AIONEX's core technology or intellectual property to the Client.

Client Intellectual Property

All Client data, content, brand assets, business processes, and proprietary information provided to AIONEX during an engagement remain the exclusive property of the Client. AIONEX acquires no ownership rights in Client data.

Deliverables

Ownership of custom-built deliverables (e.g., automation workflows, dashboards, integrations) created specifically for the Client will be determined in the applicable Service Agreement. In the absence of a specific provision, custom deliverables are licensed to the Client on a non-exclusive basis for the duration of the engagement.

Confidentiality

Each party ("Receiving Party") acknowledges that it may receive confidential or proprietary information from the other party ("Disclosing Party") during the course of an engagement. Both parties agree to:

  • Hold all Confidential Information in strict confidence using at least the same degree of care used to protect their own confidential information (but no less than reasonable care)
  • Not disclose Confidential Information to any third party without prior written consent from the Disclosing Party
  • Use Confidential Information solely for the purposes of fulfilling obligations under the applicable Service Agreement
  • Limit access to Confidential Information to employees, contractors, or agents who have a need to know and are bound by equivalent confidentiality obligations
  • Promptly notify the Disclosing Party upon becoming aware of any unauthorised disclosure or use

These confidentiality obligations survive the termination or expiration of any Service Agreement for a period of three (3) years. They do not apply to information that is publicly available, independently developed, or required to be disclosed by applicable law or a competent authority.

Data Protection & Privacy

AIONEX processes business data provided by Clients strictly for the purposes of delivering the contracted services. Our data handling practices are governed by our Privacy Policy, available at aionex.ae/privacy, and applicable UAE data protection regulations.

In processing personal data on your behalf, AIONEX acts as a data processor and you act as the data controller. You warrant that:

  • You have all necessary consents and legal bases to share personal data with AIONEX for processing
  • The personal data shared does not violate any applicable data protection laws, including UAE Federal Decree Law No. 45 of 2021 on the Protection of Personal Data
  • You will promptly inform AIONEX of any data subject requests or regulatory enquiries relating to data processed in connection with our services

AIONEX implements industry-standard technical and organisational security measures to protect your data. In the event of a security incident affecting your data, AIONEX will notify you without undue delay.

Disclaimer of Warranties

AIONEX services are provided on an "as is" and "as available" basis. While we are committed to delivering high-quality work, we make no warranties, express or implied, including but not limited to:

  • Guarantees of specific business outcomes, revenue growth, lead volumes, or other commercial results
  • Uninterrupted, error-free, or perfectly accurate operation of any automated system or integration
  • Fitness for a particular purpose beyond those expressly agreed in the applicable Service Agreement
  • Results arising from changes to third-party platforms, APIs, or services outside AIONEX's control

AIONEX will make commercially reasonable efforts to resolve performance issues and maintain the quality of services, but cannot guarantee outcomes dependent on external factors including market conditions, third-party tool changes, or Client operational variables.

Limitation of Liability

To the maximum extent permitted by applicable UAE law, AIONEX's aggregate liability for any claims arising out of or related to these Terms or any Service Agreement shall not exceed the total fees paid by the Client to AIONEX in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall AIONEX be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of revenue, profit, or anticipated business savings
  • Loss of goodwill or business reputation
  • Loss of data or cost of data recovery
  • Business interruption or downtime costs
  • Damages arising from reliance on third-party tools, APIs, or platforms

These limitations apply regardless of the theory of liability (contract, tort, negligence, or otherwise) and whether or not AIONEX has been advised of the possibility of such damages.

Indemnification

You agree to defend, indemnify, and hold harmless AIONEX FZC and its officers, directors, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your breach of any provision of these Terms or any applicable Service Agreement
  • Your violation of any applicable UAE law or regulation
  • Any claim that content or data you provide to AIONEX infringes the rights of a third party
  • Your misuse of any systems, tools, or deliverables provided by AIONEX
  • Any claim by your customers or business partners arising from your use of AIONEX services

Termination

Either party may terminate a Service Agreement by providing thirty (30) days written notice to the other party. AIONEX may terminate immediately, without notice, in the event of:

  • Material breach of these Terms or any Service Agreement that remains uncured after 10 days written notice
  • Non-payment of invoices beyond 45 days from the due date
  • Insolvency, bankruptcy, or liquidation proceedings initiated by or against the Client
  • Use of AIONEX services for unlawful purposes or in a manner that could harm AIONEX or third parties

Upon termination: (a) all outstanding fees become immediately due and payable; (b) AIONEX will cease access to Client systems and return or securely delete Client data as agreed; (c) the Client's right to use any AIONEX-licensed deliverables will cease unless otherwise agreed in writing. Sections on confidentiality, intellectual property, liability, indemnification, and governing law survive termination.

Governing Law & Disputes

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws of the Emirate of Sharjah.

Any dispute, controversy, or claim arising out of or relating to these Terms or any Service Agreement shall first be subject to good-faith negotiations between senior representatives of both parties for a period of thirty (30) days. If the dispute remains unresolved, it shall be referred to and finally resolved by the courts of the Emirate of Sharjah, which shall have exclusive jurisdiction.

Changes to These Terms

AIONEX reserves the right to update or modify these Terms at any time. When we make material changes, we will:

  • Update the 'Last Updated' date at the top of this page
  • Notify existing Clients via email to their registered address at least thirty (30) days before the changes take effect
  • Post the updated Terms at aionex.ae/terms

Your continued use of AIONEX services after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must notify AIONEX in writing and cease using our services.
